14.3 Articles of Incorporation

The following Articles of Incorporation have been filed with the Office of the Secretary of State in the state of Washington.

Name: University of Michigan Club of Seattle

Tenure: Perpetual

Purpose of Corporation:

The Club is an affiliate of, and chartered by, the Alumni Association of the University of Michigan (AAUM), an educational, nonprofit membership organization of graduates and friends of the University of Michigan (U-M). The club and AAUM bring alumni together in support of each other and to promote U-M’s objectives through the establishment and maintenance of contact among U-M, its graduates, and present and prospective students.

Effective Date of Incorporation: April 11, 2017

Distribution of Assets:

Upon the dissolution of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the Alumni Association of the University of Michigan, or the federal government, or to a state or local government, for a public purpose.
